1. Acceptance of Terms

By accessing or using the Brightwill website at brightwill.ai and any related services, APIs, or applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Brightwill is a Generative Engine Optimization (GEO) analysis platform that measures how AI search engines (including ChatGPT, Claude, and Gemini) represent and recommend businesses. The Service includes:
  • Free Audit: a complimentary AI visibility analysis using a single AI engine (ChatGPT) with a limited set of queries.
  • Full Audit ($19 one-time): a comprehensive analysis across all three AI engines with 100+ queries, source influence mapping, a technical AI readiness scan (if a website URL is provided), and a personalized action plan.
  • Recurring Audits ($19/month or $180/year): monthly full audits with score tracking over time.
  • GEO Managed: a full-service AI visibility optimization service including automated asset generation (schema markup, llms.txt, FAQ content, meta tags, robots.txt fixes) deployed via a script tag on your website, directory submissions, review management, competitor tracking, strategy calls, white-glove setup, and monthly re-audits.

3. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. The Service is intended for business use and is not directed at consumers under the age of 16.

4. Account Registration and Security

  • Account creation is optional for free audits but required for accessing the dashboard, linking reports, and subscription services.
  • You may register using email/password or Google OAuth. You are responsible for providing accurate, current, and complete information.
  • You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must notify us immediately at [email protected] if you become aware of any unauthorized access to or use of your account.
  • We reserve the right to suspend or terminate accounts that we reasonably believe are compromised, fraudulent, or in violation of these Terms.

5. Payments, Pricing, and Refunds

5.1 Payment Processing

All payments are processed securely through Stripe, Inc. By purchasing a paid service, you agree to Stripe's terms of service. We do not store your credit card number or full payment details on our servers.

5.2 One-Time Purchases

Full Audit reports are one-time purchases. The analysis begins immediately upon payment confirmation. Because the service is delivered digitally and analysis begins immediately, all one-time purchases are final. We offer a 30-day money-back guarantee: if you are unsatisfied with your report for any reason, contact us within 30 days of purchase at [email protected] for a full refund.

5.3 Subscriptions

Recurring Audits and GEO Managed are subscription services billed on a monthly or annual basis. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account dashboard or by contacting us. Cancellation takes effect at the end of the current billing period; no prorated refunds are provided for partial periods.

5.4 Setup Fees

GEO Managed subscriptions include a one-time setup fee charged at the time of initial purchase. Setup fees are non-refundable once onboarding has begun.

5.5 Price Changes

We reserve the right to change our pricing at any time. Price changes for existing subscriptions will be communicated at least 30 days in advance via email. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
  • Use the Service for any illegal, fraudulent, or unauthorized purpose.
  • Submit false, misleading, or inaccurate business information for analysis.
  • Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or methodology of the Service.
  • Scrape, crawl, or use automated tools to extract data from the Service without our prior written consent.
  • Circumvent, disable, or interfere with rate limits, access controls, security features, or any other technical measures.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Transmit any viruses, malware, worms, or other malicious code through the Service.
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.
  • Resell, redistribute, or sublicense access to the Service or any reports generated by the Service without our prior written consent.
  • Use the Service to harm, harass, or stalk any individual or business.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, user interface, source code, algorithms, methodology, branding, logos, and all related documentation, is the exclusive property of Brightwill and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

7.2 Your Content

You retain ownership of the business information you provide to us. By submitting business information for analysis, you grant us a non-exclusive, worldwide, royalty-free license to use that information solely for the purpose of providing and improving the Service.

7.3 Report Ownership

Analysis reports generated for you are yours to use, share, download, and distribute as you see fit. Public shareable report links you generate may be accessed by anyone with the link.

8. AI Analysis Disclaimer

  • Our analysis reflects how AI engines (ChatGPT, Claude, Gemini) respond to queries at the time of the audit. AI-generated responses are inherently variable and may change at any time without notice.
  • Results are provided for informational purposes only and do not constitute a guarantee, warranty, or prediction of future AI behavior, search rankings, or business outcomes.
  • The AI Visibility Score and recommendation probability are calculated based on our proprietary methodology and represent a point-in-time measurement, not a permanent ranking.
  • We are not affiliated with, endorsed by, or partnered with OpenAI, Anthropic, or Google. Our Service independently queries their publicly available AI products.
  • We do not control or influence how AI engines respond to queries. Changes to AI models, training data, or search capabilities may affect your results at any time.
  • The action plans and recommendations provided are suggestions based on data analysis and should not be considered professional business, legal, or marketing advice.

9. Script Tag and Website Modification (Managed Plan)

For GEO Managed subscribers:
  • You authorize Brightwill to deploy a JavaScript snippet on your website that injects structured data (JSON-LD schema markup) into your web pages.
  • The script operates client-side, includes duplicate detection to prevent conflicts with existing markup, and communicates with our servers via periodic heartbeat pings.
  • You are responsible for installing the script tag on your website. We provide installation instructions but do not directly access your hosting or CMS.
  • You may remove the script tag at any time. Upon subscription cancellation, the script will cease to serve content.
  • We are not liable for any disruptions to your website caused by incompatibilities between our script and your existing code, plugins, or hosting environment.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
  • BRIGHTWILL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO BRIGHTWILL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Brightwill, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or business information you provide through the Service.

12. Termination

  • You may stop using the Service at any time and may delete your account by contacting us at [email protected].
  • We may suspend or terminate your access to the Service immediately, without prior notice or liability, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if your use of the Service poses a risk to other users or our infrastructure.
  • Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 7, 8, 10, 11, and 14.
  • For subscription services, termination by us for cause does not entitle you to a refund of any prepaid fees.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing any formal dispute, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

13.3 Binding Arbitration

Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding.

13.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

14. General Provisions

  • Entire Agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and Brightwill regarding the Service and supersede all prior agreements.
  • Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: you may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
  • Force Majeure: we shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service disruptions.
  • Notices: we may provide notices to you via email to the address associated with your account or by posting on the Service. Notices to us should be sent to [email protected].

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" at the top. For material changes, we will provide at least 30 days' notice via email (if you have an account) or by placing a prominent notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
